1. Contractual Agreement

This Terms of Service Agreement ("Agreement") constitutes a legally binding contract between the user ("Member", "Guest", "User", or "you") and LowPriceDito.com ("Company", "we", "us", or "our"). This document governs your access to the LowPriceDito.com infrastructure, our retail platform, and all related technical services (collectively, the "Service").

By accessing or utilizing the Service, you confirm your statutory legal age (minimum 18 years old in the Republic of the Philippines) and your legal capacity to form a binding contract. Corporate representatives warrant they possess authorized signatory power to bind their respective entities to these terms. Unauthorized access or refusal to adhere to these parameters requires immediate cessation of Service use.

2. Technical Definitions

Content: All text, graphical interfaces, underlying software, and media components housed within the Service.
Member Content: Data submitted, uploaded, or transmitted by a registered user to the platform.
Company Content: Proprietary operational data and media generated by LowPriceDito.com.
Third-Party Content: Information originating from external integrated partners.

3. User Accounts and Guest Protocols

3.1 Open Registration

The platform operates an open registration architecture. Any individual meeting the statutory eligibility requirements may establish a persistent user profile. Registered accounts facilitate the retention of transaction history, management of logistical parameters, and expedited checkout procedures. Registration is voluntary and subject to verification.

3.2 Guest Checkout

Unregistered individuals may execute purchases utilizing the guest checkout pathway. Guest transactions remain strictly bound by this Agreement but structurally prevent access to persistent profile data, centralized order tracking capabilities, and saved payment parameters.

3.3 Account Security and Authentication

Registered users hold absolute liability for maintaining the confidentiality of their authentication credentials. You are legally responsible for all activities executed under your account parameters. Suspected unauthorized access must be reported immediately to usmile@lowpricedito.com. The Company accepts no liability for financial or data loss resulting from compromised user security protocols.

4. Transaction Protocols and Pricing

4.1 Order Execution

Digital checkout constitutes a formal offer to purchase. LowPriceDito.com retains the explicit right to refuse or cancel any order due to inventory depletion, suspected fraudulent markers, or operational constraints.

4.2 Pricing Verification

Pricing is subject to continuous systemic verification. We reserve the right to nullify transactions resulting from verified catalog pricing anomalies or database errors.

4.3 Cash on Delivery (COD) Compliance

Authorized COD selections require exact cash payment upon physical delivery. Documented failure to receive and pay for two (2) COD dispatches will trigger an automatic and permanent systemic revocation of COD privileges and potential account suspension.

5. Fulfillment and Title Transfer

Displayed delivery schedules are logistical estimates and not contractual guarantees. LowPriceDito.com assumes no liability for delays initiated by external carriers or defined force majeure events. Title to goods and the associated risk of loss legally transfers to the user upon physical handover to the logistics carrier. For COD transactions, title transfers exclusively upon confirmed payment and signature at the delivery endpoint.

6. Operational Restrictions

Users are strictly prohibited from engaging in the following actions:

Utilizing the infrastructure for any action violating local, national, or international statutes.
Infringing upon established intellectual property rights.
Uploading malicious, fraudulent, or legally objectionable data payloads.
Deploying automated scraping protocols, bots, or spiders to extract localized data or bypass security architecture.
Reverse engineering, decompiling, or attempting to expose the source code of the Service.
Initiating actions intended to execute denial of service or systemic disruption.

7. Intellectual Property Rights

All Company Content housed within the platform is protected by the intellectual property laws of the Republic of the Philippines and applicable foreign treaties. By utilizing the platform, users receive a highly restricted, non-exclusive, non-transferable license strictly for personal, non-commercial interaction. "LowPriceDito.com" and all associated branding are registered commercial trademarks and may not be replicated without formalized legal consent.

8. Disclaimer of Warranties and Limitation of Liability

8.1 Strict "As Is" Provision

THE SERVICE AND ALL ASSOCIATED PRODUCTS ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC PURPOSE, AND NON-INFRINGEMENT.

8.2 Liability Boundaries

TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, THE COMPANY, ITS DIRECTORS, AND AGENTS SHALL HOLD ZERO LIABILITY FOR INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. THIS INCLUDES APPLICABLE LOSS OF DATA, REVENUE, OR OPERATIONAL GOODWILL RESULTING FROM SYSTEM OUTAGES, THIRD-PARTY CONDUCT, OR UNAUTHORIZED DATA ACCESS.

8.3 Financial Cap

UNDER NO CIRCUMSTANCES SHALL THE COMPANY'S AGGREGATE LIABILITY FOR ANY CLAIM EXCEED THE TOTAL AMOUNT REMITTED BY THE USER TO THE COMPANY WITHIN THE SIX (6) MONTHS PRECEDING THE INCIDENT, OR ONE HUNDRED PHILIPPINE PESOS (PHP 100.00), WHICHEVER REPRESENTS THE GREATER VALUE.

9. Indemnification

You agree to legally indemnify and hold harmless LowPriceDito.com, its corporate affiliates, and active personnel against any localized or international claims, liabilities, financial damages, or legal fees resulting from your breach of this Agreement, unauthorized use of the platform, or direct infringement of third-party rights.

10. Termination Protocols

Users retain the right to terminate personal access at their discretion. Conversely, LowPriceDito.com retains the unilateral authority to immediately suspend or permanently terminate network access and user profiles without prior notification if systemic analysis detects a breach of this Agreement or fraudulent behavior. Post-termination, all localized user rights immediately default to the Company.

11. Governing Law and Jurisdiction

This Agreement is constructed and enforced under the explicit jurisdiction of the Republic of the Philippines. Any operational dispute or legal claim arising from these parameters will be resolved exclusively within the courts located in the City of Biñan, Laguna, Philippines. All users irrevocably submit to the personal jurisdiction of this specific venue.

12. General Provisions

Data Privacy Integration: Data processing and privacy protocols are governed exclusively by our Privacy Policy and the Philippine Data Privacy Act of 2012.
Severability: If a court of competent jurisdiction rules any specific clause within this Agreement invalid, that clause will be surgically excised while the remainder of the Agreement retains full legal force.
Amendments: Revisions to these parameters will be published directly to this URL. Continued platform usage post-publication serves as legally binding acceptance of the modified Agreement.
Force Majeure: LowPriceDito.com assumes no operational liability for fulfillment failures triggered by external events outside reasonable logistical control.
No Waiver: The failure to immediately enforce any specific provision within this document does not legally constitute a systemic waiver of that right.
