Terms Of Service

"Content" means text, graphics, images, music, software, audio, video, information, and other materials.

"Member Content" means Content that a user posts, uploads, publishes, submits, or transmits to be made available through the Service.

"Company Content" means Content we create and make available through the Service.

"Third-Party Content" means Content that originates from parties other than the Company or users of the Service.

2.1. Algorithmic Membership Model. Our proprietary algorithm evaluates multiple factors to determine membership eligibility and tier placement, including but not limited to: Transaction History (purchase behavior, frequency, value); Payment Reliability (timeliness, chargeback history); Operational & Fulfillment Metrics (delivery success rates); Risk Mitigation Indicators (cancellation history, disputes); and Behavioral Patterns (platform engagement, policy compliance).

2.2. Membership Invitations & Fraud Warning. Qualified individuals may receive unsolicited membership invitations exclusively through official Company channels (verified @lowpricedito.com email domains or secure in-app notifications). The Company never authorizes third parties to sell, broker, or guarantee membership access. Any such offers are fraudulent. Report scams to usmile@lowpricedito.com.

2.3. Membership Tiers & Benefits. Membership consists of a single, non-transferable "Premium" tier, which includes benefits such as:

• Free & Expedited Shipping: Free premium delivery on every order, with access to priority processing and expedited shipping lanes where available.
• Flexible Payment Options: Eligibility for convenient payment methods, including Cash on Delivery (COD) and installment payment plans through our partner providers (subject to separate credit assessment).
• Exclusive Access & Early Product Drops: First and priority access to purchase limited-stock items, special collections, and highly anticipated product launches before they are available to the general public.
• Member-Only Pricing & Promotions: Access to exclusive deals, special promotional discounts, and flash sales not available to guest customers.
• Enhanced Earnings on Loyalty Program: Earn points on every purchase at an accelerated rate compared to non-members. Points are redeemable for discounts on future orders.
• Extended Return Window: A more flexible return period on eligible items, providing more time to decide on your purchases.

Important Note on Benefits: The specific combination, scope, and level of benefits are determined, granted, and may be adjusted algorithmically at the Company's sole discretion. We reserve the right to modify, suspend, or revoke membership or any associated benefits at any time—without liability—for violations of this Agreement, fraudulent or abusive activity, or operational necessity. Benefits are personal to the member and cannot be transferred, sold, or combined across accounts.

2.4. Guest Purchases. Non-members may place orders as "Guests" using prepayment methods only. Guests are bound by this Agreement but cannot create persistent accounts or access membership benefits.

3.1. Account Information. You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate.

3.2. Account Security. You are responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify us immediately at usmile@lowpricedito.com of any unauthorized use of your account. You are solely responsible for any losses arising from the unauthorized use of your account.

4.1. Order Acceptance. Each order you place is an offer to purchase the product(s). All orders are subject to our acceptance. We may refuse or cancel any order for any reason, including for errors in product description, pricing, availability, or suspected fraud.

4.2. Pricing and Errors. We strive for accurate pricing but errors may occur. We reserve the right to cancel any order arising from a pricing error.

4.3. Payment Methods. We accept various payment methods, including credit/debit cards and Cash on Delivery (COD) for eligible Members. You represent and warrant that you are authorized to use your chosen payment method.

4.4. COD Authorization. By selecting COD, you agree to pay the full invoice amount in cash upon delivery. Failure to accept and pay for two (2) COD orders will result in the permanent revocation of your COD eligibility and may lead to membership suspension.

5.1. Shipping Policies. Shipping times are estimates only and are not guaranteed. The Company is not liable for delays caused by carriers or force majeure events.

5.2. Title and Risk of Loss. Title to and risk of loss for all products passes to you upon our delivery to the carrier. For COD orders, title passes upon your payment and acceptance of the goods at the point of delivery.

Your purchases are subject to our separate Return & Refund Policy and Cancellation Policy, which are incorporated into this Agreement by reference.

You agree not to, and will not assist others to:

• Use the Service for any illegal purpose or in violation of any local, national, or international law.
• Violate or encourage others to violate the rights of third parties, including intellectual property rights.
• Post, upload, or transmit any Member Content that is unlawful, fraudulent, threatening, obscene, or otherwise objectionable.
• Use any automated system (e.g., "bots," "spiders") to access the Service or circumvent technological measures intended to control access.
• Attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the Service.
• Interfere with the operation of the Service or any user's enjoyment of the Service.

8.1. Service Content. The Service, including all Company Content, is protected by copyright, trademark, and other laws of the Republic of the Philippines and foreign countries. You acknowledge that all intellectual property rights therein are owned by or licensed to the Company.

8.2. Limited License. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.

8.3. Trademarks. "LowPriceDito.com," our logos, and any other product or service names are trademarks of the Company. You may not use these without our prior written permission.

9.1. "As Is" Basis. THE SERVICE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.

9.3. Cap on Liability. IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNT YOU PAID TO THE COMPANY IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY OR ONE HUNDRED PHILIPPINE PESOS (PHP 100.00), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless the Company and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of this Agreement, or (c) your infringement of any third-party right.

11.1. By You. You may stop using the Service at any time.

11.2. By Us. We may suspend or terminate your account or access to the Service immediately, without prior notice or liability, for any reason, including if you breach this Agreement. Upon termination, your right to use the Service will cease immediately.

12.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

12.2. Exclusive Jurisdiction. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the City of Biñan, Laguna, Philippines. You hereby irrevocably submit to the personal jurisdiction of such courts.

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated herein by reference, and by the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).

14.1. Entire Agreement. This Agreement, together with our Privacy Policy, Return Policy, and Cancellation Policy, constitutes the entire agreement between you and the Company.

14.2. Severability. If any provision of this Agreement is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3. Amendments. We reserve the right to modify this Agreement at any time. We will provide notice of material changes by posting the revised Agreement on the Site and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new terms.

14.4. Force Majeure. The Company shall not be liable for any failure to perform resulting from causes outside its reasonable control.

14.5. No Waiver. Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
